Is the Real Goal to Shut Down the Association?

 

As we look back on the events that have unfolded since May 2024, a troubling pattern has emerged—one that suggests the real objective behind the chaos, confusion, and repeated disruptions is to dismantle the Camp Branch Acres Property Owners Association altogether. The warning signs began when the annual meeting scheduled for May 2024 was abruptly cancelled. Without any input from property owners, Kelle Rahm and Kelly Harrell filed documents with the Texas Secretary of State that fundamentally changed the legal structure of our association. These filings, done in secret and without a vote of the membership, incorporated the association—despite our long history as an unincorporated nonprofit association.

 This change added legal risk, increased complexity, and stripped away owner protections without consent (after all, their corporation state that its management is only by the board of directors - which was Kelle Rahm, Kelly Harrell, Joe Chambes (who did not consent to this) and Travis Elliott (can't remember if he consented      

Since then, every major vote or action led by this leadership bloc has worked toward weakening the association. In early 2025, new language was proposed to be introduced to the bylaws that would allow for the permanent closure of the association. A separate vote was held to strip the board of the ability to spend funds on road repairs—functionally paralyzing the POA’s ability to maintain infrastructure. Even our long-standing relationship with our community bank was tossed aside, raising serious questions about who will have access to funds, records, and account authority going forward. And now, the most recent move: a recall election targeting Jerry and Charlene, the only two board members who have consistently stood in the way of this effort to dismantle our POA. Their removal would eliminate the final roadblock for those pushing to dissolve the association, or at least render it incapable of functioning. 

By the way, when an incorporated nonprofit shuts its doors, any funds or assets must be donated to another nonprofit.  We wouldn't get our money back.
